Acceptance of Terms
By accessing or using the Avicen platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
Key Definitions
- "Service": The Avicen medical record analysis and review platform, including all web applications, APIs, and related tools.
- "User": Any individual who accesses or uses the Service under a Customer account.
- "Customer": The entity that has entered into a subscription agreement with Avicen.
- "Content": Any data, documents, text, images, or other materials uploaded to or generated by the Service.
- "Subscription": The paid plan under which the Customer accesses the Service.
Service Description
Avicen provides a medical record analysis and review platform that processes medical documents, including PDFs, scans, lab reports, DICOM images, handwritten notes, and audio recordings, and transforms them into structured, evidence-linked case material for retrospective review.
The Service is designed to assist qualified professionals in document review and analysis for medical and medico-legal assessment. It is not a medical device, does not diagnose, and does not provide treatment recommendations. It does not replace professional judgment and must not be used as the sole basis for any clinical decision.
Your Account
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your login credentials and not share them with unauthorized individuals
- Notify us immediately of any unauthorized access to your account
Subscriptions & Payments
Access to the Service requires an active Subscription. Subscription details, including features and usage limits, are described in your order confirmation. Financial terms are set out in your quote or order form.
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel your Subscription at any time through your account settings.
Fees are non-refundable except as required by applicable law or as expressly stated in your order agreement.
Evaluation Phase
Before subscribing, you may benefit from a free, guided fourteen (14) day evaluation of the Service. The evaluation entails no payment obligation, and either party may end it at any time, without notice or justification.
At the end of the evaluation, unless a subscription is entered into, the data uploaded during the evaluation is returned to you or deleted, and in all cases within 30 days of the end of the evaluation.
Intellectual Property
The Service, including all software, algorithms, designs, documentation, and trademarks, is the exclusive property of Avicen and is protected by intellectual property laws. Nothing in these Terms grants you any ownership rights in the Service.
We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your Subscription.
Your Content
You retain all ownership rights in the Content you upload to the Service. By uploading Content, you grant Avicen a limited license to process and store the Content solely for the purpose of providing the Service to you.
You are responsible for ensuring you have all necessary rights and consents to upload Content, including any patient data. Avicen does not claim ownership of your Content and does not use it for AI model training or any purpose beyond delivering the Service.
Prohibited Uses
You agree not to use the Service to:
- Violate any applicable law, regulation, or professional code of conduct
- Upload Content that you do not have the right to process or share
- Attempt to reverse-engineer, decompile, or extract source code from the Service
- Interfere with or disrupt the Service, its servers, or connected networks
- Resell, redistribute, or sublicense access to the Service without prior written consent
Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Avicen does not warrant that the Service will be uninterrupted, error-free, or that any AI-generated outputs are complete or accurate. The Service is a document-analysis tool, is not a medical device, and does not provide medical advice.
Limitation of Liability
To the maximum extent permitted by law, Avicen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service.
Avicen's total cumulative liability under these Terms shall not exceed the greater of (i) the fees paid by you in the twelve (12) months preceding the event giving rise to liability and (ii) EUR 1,000.
Indemnification
You agree to indemnify and hold harmless Avicen, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
Termination
Either party may terminate the agreement at any time. You may cancel your Subscription through your account settings. Avicen may suspend or terminate your access if you breach these Terms or engage in prohibited conduct.
Upon termination, your right to use the Service ceases immediately. Your Content will be available for export for 30 days after termination, after which it will be permanently deleted.
Governing Law
These Terms are governed by the laws of France. Any dispute arising from these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.
Contract Language
These Terms are provided in French and in English for convenience. In case of divergence between the two versions, the French version prevails.
Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
